Questcorp Mining Provides Clarification on Sharing Arrangement

Questcorp Mining clarified that, in connection with its October 24, 2025 private placement of 14,000,334 units for C$2.1 M, it entered a $2 M sharing agreement with Sorbie Bornholm LP. Under this agreement the company gets an initial $85,000 release, with the remaining amounts determined over 24 monthly tranches based on share price. No funds are held in escrow, and the final payout could be higher or materially lower than $2 M, exposing Questcorp to counterparty risk.
