VANCOUVER, B.C — October 23, 2015 — Santacruz Silver Mining Ltd. (TSXV:SCZ) (OTCQX: SZSMF) ("Santacruz Silver" or the "Company") is pleased to announce that it has closed the first tranche of its previously announced non-brokered private placement (the "Private Placement").

In connection with the closing of the first tranche of the Private Placement, the Company has issued 4,864,000 common shares at a price of $0.13 per common share for gross consideration of C$632,320. 

The proceeds from the Private Placement are expected to be used by the Company for the purchase of new underground mining equipment, general working capital and corporate purposes. All shares issued will be subject to a four month hold period. 

The common shares issued pursuant to the Private Placement are subject to a hold period expiring on February 24, 2016.

Insiders of the Company have acquired 2,918,500 common shares under the Private Placement. Their participation is considered to be a "related party transaction" within the meaning of TSXV Policy 5.9 and Multilateral Instrument 61-101 ("MI 61-101"). The Company is relying on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in Sections 5.5(a) and 5.7(1)(a) of MI 61-101 in respect of any Insider Participation as neither the fair market value of any shares issued to nor the consideration paid by such persons will exceed 25% of the Company's market capitalization.
